Terms of Service
Ultimo aggiornamento: October 15, 2026
1. Introduction and Acceptance
These Terms of Service ("Terms") form a legally binding agreement between you ("User") and Dima Labs Inc ("Operator", "we", "us"), a corporation incorporated in the Province of Ontario, Canada, regarding your use of the Caloroo service (the "Service"). By creating an account or using the Service you agree to these Terms.
2. Service Description
Caloroo is an online calorie and nutrition tracking platform. Features include food logging, barcode and photo-based entry, personal goals and body metrics, and group-based sharing with role-based permissions. Optional Model Context Protocol (MCP) connections let compatible apps, including AI assistants, read permitted data and perform supported actions on your behalf. Features, content, and availability may change over time.
3. Account Registration and Security
You must provide accurate registration information and take reasonable steps to keep your credentials confidential. You are responsible for activity you authorize and for misuse resulting from your failure to take reasonable care, but not for unauthorized activity caused by our failure to meet our obligations. Notify [email protected] promptly if you suspect unauthorized access. We may temporarily suspend access where reasonably necessary to protect an account or the Service.
4. Pricing, Renewal, Cancellation, and Refunds
Free and paid plans have different features and limits. The price, currency, applicable taxes, billing interval, and plan limits are disclosed before purchase. Subscriptions are billed in advance and renew automatically for the selected interval until canceled. Any trial duration, conversion price, and cancellation deadline will be disclosed before you accept a trial.
Web purchases use Polar as merchant of record and are also subject to the Polar buyer terms. Mobile purchases through Apple or Google are subject to the applicable store purchase terms. Your receipt identifies the seller and purchase channel.
Cancel web subscriptions through Manage Subscription in the app settings or the billing portal linked from your purchase emails. Cancel Apple or Google subscriptions through that store's subscription settings, before its renewal deadline. Contact [email protected] if you need help. Cancellation stops future renewals; paid access normally continues until the end of the current paid period, unless you delete your account or receive a refund that ends access earlier. When you delete your account, we cancel future renewals of linked Polar web subscriptions and Google Play subscriptions managed through RevenueCat before removing the account. If we cannot confirm that cancellation, deletion will not complete; retry or contact support. Apple subscriptions cannot be canceled by Caloroo: cancel them in your Apple subscription settings separately. Uninstalling the app does not cancel any subscription. Account deletion ends access immediately and does not itself issue a refund.
Except where applicable law, the purchase terms, or these Terms provide otherwise, cancellation does not entitle you to a refund or credit for a partially used billing period. Request refunds for web purchases at [email protected] or through Polar, and for store purchases through Apple or Google. We will assist with requests that require action through the original purchase channel. Mandatory cancellation, withdrawal, and refund rights remain unaffected.
Price increases apply only to a future renewal, with at least 30 days' advance notice by email or an in-app notice and any additional notice or consent required by law or the purchase channel. You may cancel before the increase takes effect. Non-payment may result in downgrade or suspension after notice and a reasonable opportunity to update payment details.
5. Eligibility and Acceptable Use
You must be at least 18 years old to use the Service. If you act for an organization, you must have authority to bind it to these Terms. You agree to comply with applicable laws and respect others' rights. Before entering or sharing another person's information, you must have the necessary permission or other lawful authority, including any consent required for health information.
6. Prohibited Activities
- Using the Service for any unlawful purpose.
- Distributing malware or attempting unauthorized access to accounts, data, or systems.
- Infringing intellectual property rights or sending spam.
- Creating fraudulent entries or misrepresenting data.
- Reselling access without authorization or copying protected software or content without permission.
- Extracting data without authorization, circumventing access controls, or disrupting the Service. This does not restrict authorized integrations, permitted exports of your data, or activities protected by applicable law.
7. Health Disclaimer
Caloroo is an informational tool and is not a medical device or medical advice. Nutrition values, calorie estimates, and any suggestions the Service produces are approximate and may be incomplete or inaccurate. Do not rely on the Service to diagnose, treat, cure, or prevent any condition. Consult a qualified healthcare professional before making decisions about diet, training, or medical treatment, especially if you have an eating disorder, are pregnant, nursing, or have any health condition. These limitations also apply to nutrition analysis accessed through MCP. AI assistants may generate inaccurate or misleading interpretations, recommendations, or entries; review them before relying on them.
8. Intellectual Property
All intellectual property rights in the Service belong to Dima Labs Inc or its licensors. Users receive a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. We may suspend or end this license in accordance with section 14.
9. User Content, Sharing, and Coaching
You retain ownership of your food logs and other content. You grant us a non-exclusive license to host, store, process, and display that content solely to provide the Service, including sharing it with recipients you authorize. Our contracted providers may process it on our behalf for that purpose. This license does not authorize selling your content or using it for advertising, and ends when the content is deleted, except for limited retention described in the Privacy Policy. You must have the rights needed to upload and share it.
Review your sharing settings before sharing health data. Group roles, member permissions, and share-link settings determine access. Anyone who obtains an active public share link may view the information enabled for that link. You can change permissions or revoke access, but this cannot recall screenshots, downloads, or other copies already obtained by recipients. Members and administrators must use shared information only for the authorized purpose and must not redistribute it without permission or another lawful basis.
Coaches and other users provide their own advice independently of Caloroo. Access to a coach account or group is not an endorsement or verification of professional qualifications. Coaches are responsible for their services, required qualifications, and handling of client information; users should verify qualifications before relying on advice. Section 7 also applies to nutrition and health information shared through groups.
10. Third-Party Services
We use contracted providers for hosting, payments, analytics, and nutrition-label scanning, including vision providers such as OpenAI or Google. We remain responsible for our own legal obligations, including applicable obligations to protect personal information processed on our behalf. See the Privacy Policy for data handling and retention details.
Independent services you choose to connect or purchase from may have their own terms and privacy policies. We do not control their independent operations or guarantee their continued availability. This does not exclude responsibility for our own acts or omissions or limit rights that cannot lawfully be excluded.
Connected apps and AI assistants (MCP)
You choose whether to connect an app and approve its requested permissions. Approval authorizes Caloroo to disclose the permitted data and carry out supported requests from that app within those permissions. Read permissions can include account identity, nutrition records and analysis, and wellness records. Write permission allows the app to record or plan food, edit food entries, and create meals, manual foods, and recipes. An approved connection does not require Caloroo to ask for confirmation before each operation. Review the permissions, your instructions to the app, and resulting changes.
If you approve persistent access, the app can stay connected for up to 30 days without a new sign-in. Disconnect it in Settings → Connected apps to stop future access through that connection. Disconnection does not undo completed changes or erase copies already received by the app; account deletion does not erase those external copies either. You must manage those copies directly with that provider. See the Privacy Policy for connection records and activity retention.
Independent apps' terms, privacy policies, and settings govern their handling of received data and their AI-generated output. Review those terms before sharing sensitive information. We do not endorse an app or guarantee its output merely because it can connect to Caloroo. You remain responsible for activity you authorize as described in section 3; this does not exclude our responsibility for our own acts or omissions or limit rights that cannot lawfully be excluded.
11. Service Availability and Changes
We use commercially reasonable efforts to maintain availability but do not guarantee uninterrupted or error-free operation. Maintenance, updates, and technical failures may interrupt access. Any limits on our liability are subject to section 12.
We may improve or change features over time. If we discontinue a paid service or materially reduce the core features of your paid plan, we will give at least 30 days' notice by email or in-app notice. If an urgent legal or security reason prevents advance notice, we will notify you as soon as reasonably possible. If the change takes effect during a prepaid period, you may end the affected subscription and request a prorated refund for its unused portion. If we end it, we will arrange that refund. Refunds use the original purchase channel; contact us for assistance with store purchases. Statutory rights to other remedies remain unaffected.
12. Disclaimer of Warranties and Limitation of Liability
To the extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE", without warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. This does not exclude statutory guarantees or remedies that cannot lawfully be excluded.
Subject to the exceptions below, our aggregate liability arising out of or relating to the Service or these Terms is limited to the total subscription fees you paid for Caloroo, including through a store or reseller, during the 12 months immediately before the event giving rise to the claim. This calculation includes monthly and annual payments. For related claims, the period ends at the first event. For users who paid no subscription fees in that period, we accept no monetary liability to the extent permitted by law.
Subject to the same exceptions, we exclude liability for indirect, incidental, special, consequential, or punitive damages, including indirect loss of data, revenue, or profits. Neither the cap nor these exclusions limit liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be limited. They do not reduce refund obligations under these Terms or mandatory consumer remedies.
13. Third-Party Claims
If you use the Service on behalf of an organization or for business purposes, you agree to reimburse us for damages finally awarded or settlements you approve, and reasonable legal costs, arising from a third-party claim caused by your unlawful use of the Service or your content infringing that party's rights. This obligation does not apply to personal consumer use or to the extent a claim results from our breach, negligence, or misconduct.
We will notify you promptly of such a claim, allow you to control its defense with competent counsel, and reasonably cooperate at your expense. Delayed notice reduces your obligation to the extent it prejudices your defense. Neither party may settle in a way that admits fault or imposes obligations on the other without that party's written consent, which must not be unreasonably withheld.
14. Suspension, Termination, and Account Deletion
You may stop using the Service or delete your account from app settings at any time. Account deletion ends access and cannot be undone. Linked Polar and Google Play renewals are canceled as described in section 4; Apple subscriptions must be canceled separately through Apple. Export or request a copy of information you need before deletion. Removal of remaining data, backups, and retained records follows the Privacy Policy; account deletion does not mean every copy is erased immediately.
We may suspend or terminate access for material violations or non-payment. Where reasonably possible, we will explain the reason and give you an opportunity to remedy it. We may act immediately to address serious abuse, a security threat, or a legal requirement. You may contact [email protected] to request review. Any refund rights under section 4 or applicable law remain available. If we terminate a paid service for convenience, section 11 applies.
Termination does not affect accrued rights or obligations. Provisions concerning ownership, permitted retention, liability, third-party claims, and dispute resolution survive to the extent needed to give them effect.
15. Force Majeure
Neither party is liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, epidemics, governmental actions, or infrastructure failures. This does not remove obligations to take reasonable steps to mitigate the effects, protect personal information, or provide refunds or other mandatory consumer remedies.
16. Governing Law and Dispute Resolution
These Terms are governed by Ontario law and applicable federal Canadian law. If you are a consumer, you retain the protection of mandatory laws applicable in your place of residence. Courts in Toronto, Ontario have jurisdiction, except where applicable law entitles you to bring or defend proceedings elsewhere. Nothing in these Terms waives a right to participate in a class proceeding or requires arbitration. You may contact [email protected] to seek an informal resolution, without delaying or limiting your right to pursue a legal remedy.
17. Changes to These Terms
We will provide at least 30 days' advance notice of changes by email to your account address or a prominent in-app notice. The notice will identify the changes and their effective date, and the updated Terms will be available on this page. Changes apply prospectively. Where legally required, we will obtain your express consent rather than rely on continued use.
Subject to mandatory law, continued use after the effective date constitutes acceptance. If you disagree, you may stop using the Service and cancel before that date. If a material change adversely affects your rights during a prepaid period, you may notify us before it takes effect, end the subscription, and request a prorated refund for the unused portion through the original purchase channel. You do not have to delete your account to stop subscription renewals.
